These Terms and Conditions for Purchase of MOVIN Products (these "Terms") govern the sale and purchase of products and services offered by MOVIN Inc. By placing an order with MOVIN, you acknowledge and agree to be legally bound by these Terms. If you are acting on behalf of a company, institution, or other legal entity, you represent and warrant that you are fully authorized to accept these Terms on its behalf.

"Goods" means the hardware, accessories, and other products offered for sale on our website. "Services" means any software, support, or services provided by MOVIN. "Software" includes firmware and applications provided with or related to MOVIN hardware. "Order" means a confirmed transaction between MOVIN and a customer for the purchase of Goods or Services.

All purchase requests, whether submitted online, via email, or through direct interaction, are subject to formal acceptance by MOVIN.
We reserve the right to decline any order in our discretion, including but not limited to cases of erroneous pricing, typographical mistakes, or product unavailability.

Prices are listed in U.S. dollars unless otherwise specified and exclude applicable taxes, customs duties, and shipping fees. Full payment is required at the time the order is placed unless otherwise agreed upon in writing. The buyer is responsible for any applicable local taxes or import obligations.

Products are shipped using reliable third-party logistics providers. While we strive to provide accurate shipping timelines, all delivery dates are estimates and may be subject to delay due to unforeseen circumstances. We cannot be held liable for shipping delays outside our control, including customs clearance or courier disruptions.

We aim for customer satisfaction and may honor return or refund requests in accordance with applicable law and our internal policies. Unless otherwise required by law, all sales are final. For defective items covered under warranty, a return or exchange may be offered subject to verification and within the warranty period.

In order to fully operate and benefit from the Goods, you may be required to separately purchase or subscribe to proprietary software designated by MOVIN ("Designated Software"). Your use of any Designated Software is subject to the applicable end-user license agreement, which is accessible through our website at https://movin3d.com/eula. Unauthorized operation of the Goods without required software subscriptions may result in limited functionality or loss of support. MOVIN shall not be responsible for any performance issues or liability arising from use without such software.
Buyer shall not, nor shall Buyer permit others to, decompile or reverse engineer the Software or otherwise copy, use or analyze it for any purpose other than the rights expressly granted in this section. Buyer shall have no other right to license, sublicense, lease, transfer or otherwise distribute the Software to any party. Buyer shall have no right to create derivative works based upon the Software.

In order to use certain features or functionalities of the Goods, you may be required to purchase or subscribe to proprietary MOVIN software ("Designated Software"). Your use of such software is subject to separate licensing terms. MOVIN disclaims responsibility for reduced functionality or unsupported usage where the Goods are used without such Designated Software.
Any ideas, feedback, or suggestions you may voluntarily submit may be used by MOVIN without obligation or compensation. You may not remove or alter any proprietary notices or marks affixed to the Goods or accompanying materials.

You agree to comply with all export control laws and regulations applicable to the Goods and Software. You shall not export or re-export any items to countries or regions subject to trade embargoes, sanctions, or restrictions, or to any individual or entity on a restricted party list.

MOVIN warrants that the Goods (excluding Software) will conform to published specifications and be free from material defects under normal use. This warranty is provided in accordance with MOVIN's Limited Warranty and Repair Policy, available on our website. Software is provided 'AS IS' unless expressly covered by a separate software warranty.
Third-party goods or parts are covered solely by the original manufacturer's warranty.
MOVIN DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MOVIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SALE, USE, OR PERFORMANCE OF THE GOODS OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, OR THIRD-PARTY CLAIMS. IN NO EVENT SHALL MOVIN'S LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE GOODS IN QUESTION. SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE THIS CLAUSE SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

These Terms shall be governed by the laws of the Republic of Korea, without regard to conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Seoul, Korea. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

MOVIN may revise these Terms from time to time to reflect changes in law, business practices, or product offerings. Updated versions will be posted on our website and will take effect immediately unless otherwise stated. Continued use of our products or services after such posting constitutes your acceptance of the changes.
